Satisfaction of Work
RGB follows Google Best Practices for SEO website design and development. Communication and scheduling are flexible, however changing due dates or delays can cause the project timeline or cost to vary. RGB Internet Systems warrants the work or service performance in accordance with our time and expertise in meeting a projects listed objectives as estimates with client. All creative and programmatic work is regularly backed up and available to client. The RGB team is committed to providing the highest quality and professional web design services in the industy.
Identification of RGB
In this page RGB Internet Systems, Inc. may be referred to as RGB, RGB Team, RGB Internet Systems
Supply of Materials
Materials and information in clients control that is necessary for RGB Internet Systems to complete estimated services in accordance with the agreed specification. Such materials may include, but are not limited to, photographs, written-copy, logos, log in information and other digital materials. Where the Client’s failure to supply such materials leads to a delay in completion of the Work, RGB Internet Systems has the right to extend previously agreed deadlines for the completion of the work by a reasonable amount and charge. If Client’s failure to supply critical materials prevents progress on the Work for more than 10 business days from the outlined schedule, RGB Internet Systems has the right to invoice the Client for any part or parts of the Work already completed and will require the client to make timely approvals in the future to keep this proposal valid. It may also result in additional charges, work stop or cancellation of the project, if it persists and continues to delay our timeline by more than 30 days.
Approval of Work
It is common to have more than one review of the site. The Client should notify RGB Internet Systems, at anytime during a project if they are unsatisfied within 2 days of receipt of service (unless otherwise agreed upon). Any of the Work which has not been reported in writing or communicated to RGB Internet Systems as unsatisfactory within the review period of the project is deemed approved by the client. It is normal to have small modifications and adjustment pre-and post-launch.
RGB will work in good faith
Design concepts and web site construction will be designed and programmed based on project objectives, software chosen, and specifications as outlined in the Client’s proposal. RGB will Work In Good Faith throughout the term of the relationship.
Pay in Full Balance
Upon completion of review period, the balance of payment Fee Payable hereof, which, in the absence of agreement to the contrary, is to be paid by the Client within 5 days of the date that the review period is over.
Payments for project
Deposits for work completed are non-refundable. If client chooses to make monthly payments for the project all web design/development payments start on the dates contained within this proposal. Payments paid by check are net invoice date. Payment Terms must be strictly adhered to by client. If abusive late payments develop, RGB has the right to stop all work and has no obligation to continue services, and client is obligated to pay any outstanding balance for work completed to date by RGB. On-going support requested by client or specific to client project will be charged at a minimum rate as negotiated, or higher per hour depending on the level of work requested.
Hosting Fee Start Dates (applies to sites hosted on RGB network)
All hosting payments for website design or custom development start approx. 1-90 days from start of project. Email start dates are subject to change based on any reasonable issues or otherwise not in the best interest of the client as deemed by RGB. There are no exceptions to start dates for hosting fees. RGB maintains daily, by week and month backups of all sites in 2 separate locations across the USA. Those backups are also periodically backed up to our local storage. CMS Software Duration: During commencement of project RGB will use the latest versions of web development software. As the site ages, the software will need to be updated. This is an unspecified timeframe, as we cannot predict technology changes that may affect the website.
Remedies for Overdue Payment
If payment has not been received by the due date, RGB Internet Systems will provide a grace period of 60 days. After 60 days RGB has the right to suspend on going work for Client, and/or suspend project until such time that full payment of the outstanding balance has been received. If this occurs RGB Internet Systems has the right to replace, modify or remove the Website and revoke the Client’s license of the Work until full payment has been received. By revoking the Client’s right to use the Work or removing the web site from the Internet, RGB Internet Systems does not remove the Client’s obligation to pay any outstanding monies owed.

RGB Internet Systems can take no responsibility for mistakes, defects in products or services provided by third parties or the client.
Maintenance and Correction of Errors
Errors (both technical and significantly typographical) attributable to RGB Internet Systems or RGB Team will be corrected free of charge. RGB Internet Systems reserves the right to charge an hourly rate proportionate to the proposal estimate for correction of significant errors, for which RGB Internet Systems is not responsible, including, but not limited to: malicious modification of the Website by a third party, outdated software causing problems, security risks or how the website functions in browsers, errors made by client or clients vendor to the website. If corrections are needed client will be notified and approve RGB to work prior to any additional charges or fees needed that are not specified within client’s proposal.
Extent of Work
Installation on the Internet is limited to the uploading of all necessary files to the web servers, and testing of functionality to meet the objectives outlined or estimated. There may be limitations or unknown defects in the performance of Design Themes, CMS Software on specific browsers, operating systems, and devices. It is understood by client and RGB that RGB may need to replace an selected website theme, plug-in software or CMS if conflicts arise. A website and its software will need to be updated or replaced to avoid security breaches or performance of the website. This is beyond RGB’s control. Client may need to upgrade the website or parts of its software unexpectedly and without warning. RGB is not responsible for any issues because of non-performance with Third-party services such as; Domain Name renewal, Social Media Accounts, Search Engine policies or any all services not offered or managed by RGB.
Status and Duration of Offers
Proposals and offers are valid for the period specified within the proposal. This is to ensure the number of valid proposals currently in place do not affect the project schedules. RGB Internet Systems is not bound to honour offers that have expired. Offers are not legally binding until an acceptable timetable for the work has been agreed by both parties and by client signature.
Search Engine Listings
RGB Internet Systems makes every effort to assist client in reaching top search engine rankings by organic means. However, Client accepts that it is Search Engines and not RGB Internet Systems who determine if and where they index domain URL’s given day, time, location, or search criteria. The Client further understands there is no guaranteed placement or rank on the Search Engines. RGB Internet Systems does not control Search Engines’ algorithms and huge shifts can appear daily, weekly, and even hourly.
RGB Network (applies to sites hosted on RGB network)
RGB Internet Systems, Inc. hosts and manages respectable business and independent web sites. We expect all clients to adhere to State and Federal laws with regards to the content they publish on their web pages, including but not limited to licensed materials, images, content. Every website hosted by RGB offers and will require a malware monitoring service. Renewed annually at the current competitive rate. Client can contract with a third party or use RGB vendor. RGB cannot take any responsibility for performance issues on websites or systems not hosted on our network.
Cross Browser & Mobile Compatibility
Our agreement contemplates the creation of a web site compatible and view-able by the most recent browsers and operating systems. Note: there will be variations in how browsers & devices display visually. Compatibility is defined herein as all critical elements of each page being view-able in both browsers. Client is aware that some non-critical elements in websites may not function as expected and may require replacement of software, updating software or may not be resolved. In the absence of a Maintenance Agreement specific to browser compatibility time spent to re-program a site due to the introduction of any browser version or mobile device will be separately negotiated and additional fees may apply to resolve these issues. Limitations and custom modifications are not common, but may be necessary to accommodate mobile devices and iPad displays. Theme customization, customizing the code of the website theme or “design” to accommodate third party products are excluded in the cross-browser compatibility clause. RGB will specifically identify which browser versions the display will support.
Licensing & Web Application Ownership
Please note that much of the core software used by RGB Internet Systems is licensed AND governed under the GNU Public License Agreement. As such, no charge can be accrued for the provision of this software to the client. All RGB prices are thus based upon the professional services sold for consultation, custom design, cms installation, custom-programming, web design, creative or third party services as available. The working website and software installations become the property of client upon receipt of all payment obligations of client to RGB Internet Systems, Inc. RGB team will act professionally and in Good Faith through the course of the initial project and throughout our relationship with client.
